Terms & Conditions of Sale

These Terms & Conditions of Sale apply to quotations, orders and supplies made by Garg International under its tent brand "GargTent". For the purposes of these Terms, "the Company" means Garg International.

1. Pricing

All prices are quoted on an Ex-Works basis from Ambala City, Haryana, India, unless otherwise specifically stated in the Quotation.

For domestic customers, GST will be charged at the applicable rate prevailing at the time of supply.

Prices are based on the quantities, specifications, materials and scope stated in the Quotation and are valid only for the validity period stated therein.

2. Payment Terms

Unless otherwise specifically stated in the Quotation, standard payment terms are 70% advance against confirmed Purchase Order and 30% balance prior to dispatch.

Production and procurement shall commence after receipt of the agreed advance and required design approvals.

Any different payment schedule specifically stated in the Quotation shall prevail.

3. Delivery Timeline

The delivery period shall be as stated in the Quotation. Where no specific timeline is mentioned, an indicative production period of 12-16 weeks may apply from receipt of advance payment and final design approvals.

Delivery timelines are indicative and may be extended due to design changes, approval delays, material availability, customer-side delays, site conditions, transport disruptions or events beyond the Company's reasonable control.

4. Scope of Supply

The scope of supply is strictly limited to the items, quantities, specifications and services expressly mentioned in the Quotation.

Unless expressly included in the Quotation, the following are excluded:

• Freight, transportation, transit insurance and logistics
• Unloading, local transportation and handling
• Installation, erection and supervision
• Civil works, foundations, footings, platforms and wooden decking
• Electrical, plumbing and HVAC works
• Furniture, fixtures and appliances
• Third-party materials, services, permits or approvals

5. Freight, Transportation & Logistics

Freight and transportation are excluded unless specifically quoted.

Where Freight or Logistics is shown as a separate line item in the Quotation, the quoted amount shall apply only to the destination, mode of transport and scope stated in the Quotation.

Any unloading, local transportation, detention, warehousing, special handling, port, terminal or other logistics charges not specifically included in the Quotation shall be borne by the customer.

6. Packing & Dispatch

Standard suitable packing is included unless otherwise stated in the Quotation.

Dispatch shall normally be made from Ambala, Haryana, India.

Special packing, export crates, wooden boxes or project-specific packing requirements shall be chargeable where applicable unless expressly included in the Quotation.

7. Risk, Transit & Insurance

Unless specifically stated otherwise in the Quotation, goods shall be dispatched and transported entirely at the buyer's/customer's risk from the time the goods are handed over to the transporter or carrier.

The Company shall not be responsible for any loss, theft, shortage, breakage or transit damage occurring after handover to the transporter/carrier, except to the extent caused by the Company before such handover.

Transit insurance shall be the responsibility of the buyer/customer unless insurance is specifically included in the Quotation. The Company may assist in arranging insurance upon request at additional cost.

8. Storage, Holding & Dispatch Delay Charges

After the Company issues a Ready for Dispatch intimation, the customer shall be allowed a free holding period of 30 calendar days.

If dispatch is delayed beyond 30 days for reasons attributable to the customer, including pending payment, site unreadiness, transport arrangement, lack of dispatch instructions or any other customer-side reason, storage and holding charges at 1% of the total order value per month shall apply from the 31st day onward.

For any incomplete month, the storage and holding charge may be calculated proportionately.

Any actual transporter detention, container detention, demurrage, port charges, terminal charges, warehousing or similar third-party costs arising due to customer-side delay shall be payable additionally by the customer at actual cost.

9. Installation & Site Support

Installation, erection and supervision charges apply only where expressly included in the Quotation.

In addition to any installation or supervision charges quoted, the customer shall separately arrange and bear the cost of:

• Return travel fares for the Company's engineers, supervisors and installation personnel, including airfare where applicable.
• Hotel accommodation, meals and local transportation for the entire installation period.
• Required local labour and manpower.
• All necessary tools, ladders, scaffolding, lifting equipment and other site equipment and support.

The Company will advise the customer of the labour, equipment and site-support requirements before mobilisation. These arrangements must be ready before the installation team arrives.

The above expenses are additional to the quoted installation charges unless the Quotation expressly states that a particular expense is included.

The customer shall also provide safe site access, electricity, water and secure storage for materials, tools and equipment during installation.

If installation is delayed or interrupted because the site, labour, equipment or other customer-arranged facilities are not ready, additional accommodation, meals, travel, remobilisation and personnel charges shall be payable by the customer. Any additional personnel charges will be communicated and agreed in writing before they are incurred.

10. Site Readiness & Customer Delays

The customer is responsible for ensuring that the site, foundations, footings, platforms, access and other preparatory works are complete and ready in accordance with approved drawings before mobilisation of the Company's personnel.

Any delay caused by incomplete site preparation, delayed approvals, non-availability of labour/equipment, customer instructions or other customer-side reasons shall automatically extend the relevant delivery or installation schedule.

Additional stay, travel, labour, equipment, remobilisation and related costs arising from customer-side delay shall be chargeable to the customer.

11. Inspection, Shortage & Transit Damage Claims

The customer shall inspect the goods immediately upon receipt.

Any visible shortage, transit damage or package damage should be recorded on the transporter delivery document and reported to the Company within 48 hours of receipt together with photographs, videos and supporting documents.

Failure to report visible shortage or transit damage within this period may affect the ability to pursue a claim with the transporter or insurer.

12. Warranty

Warranty is limited to manufacturing defects in materials or workmanship supplied by the Company, subject to the product-specific warranty terms stated in the Quotation or warranty documentation.

Warranty does not cover normal wear and tear, misuse, improper storage, improper installation by others, unauthorised modification, inadequate maintenance, third-party damage, transit damage, site conditions, extreme weather or natural calamities.

13. Drawings & Technical Documents

Drawings, layouts and concept documents shared before order confirmation are preliminary and for reference purposes only.

Final production/shop drawings shall be issued after order confirmation, receipt of the agreed advance and finalisation of the required design inputs.

Unless specifically agreed otherwise in writing, Garg International will supply drawings and technical documents in PDF format only.

Editable, native or source design files are not included in the scope of supply. This includes, without limitation, DWG, DXF, SKP, 3D model files, Revit, SolidWorks and other CAD/source files.

Any release of editable or source files, where specifically agreed by Garg International, may be subject to separate commercial terms, limitations of use and additional charges.

All drawings, designs, technical details and documentation remain the intellectual property of Garg International and may not be copied, reproduced, transferred or used by third parties without written permission.

14. Changes in Scope, Design or Specifications

Any change in dimensions, design, quantities, materials, colours, specifications, openings, accessories or scope requested after order confirmation may result in additional charges and revised delivery timelines.

No change shall be considered accepted unless confirmed by Garg International in writing.

15. Title to Goods

Ownership/title in the goods shall remain with Garg International until full payment of all amounts due against the relevant order has been received, notwithstanding delivery or dispatch of the goods.

Risk in transit shall nevertheless pass in accordance with the Risk, Transit & Insurance clause above.

16. Material, Colour & Finish Tolerances

Reasonable variations in colour, shade, texture, grain, finish, fabric batch, natural wood, handmade components, coating and other material characteristics may occur due to manufacturing processes and natural material variation.

Such reasonable variations shall not by themselves constitute a defect, provided the material remains within the agreed specification and functional requirements.

17. Force Majeure

The Company shall not be liable for delay or failure to perform obligations resulting from circumstances beyond reasonable control, including natural disasters, extreme weather, war, civil disturbance, government restrictions, strikes, transport disruption, supply-chain disruption, epidemics, fire, flood or similar events.

18. Cancellation & Strictly Non-Refundable Payments

All tents and products manufactured, customised, modified, procured or reserved against the customer's confirmed order are treated as custom-made goods.

All amounts paid to Garg International, including token amounts, advances, deposits, part payments and any other payments against an order, are strictly non-refundable from the date of order confirmation, irrespective of whether production, procurement or fabrication has commenced.

Cancellation of an order by the customer shall not create any right to a refund. Custom-made goods cannot be returned, exchanged or cancelled for refund.

Any balance amount becoming payable against work completed, materials procured, production committed or contractual obligations undertaken by Garg International shall remain payable by the customer, subject to applicable law.

19. Limitation of Liability

To the extent permitted by applicable law, the Company's liability arising from the supply shall be limited to the value of the affected goods or services supplied by the Company.

The Company shall not be liable for indirect, incidental, consequential or commercial losses, including loss of revenue, profit, business, use or opportunity, except where such exclusion is not permitted by law.

20. Jurisdiction

All disputes shall be subject to the jurisdiction of the competent courts at Ambala, Haryana, India.

21. Acceptance of Terms

Please return a copy of the quotation and these Terms & Conditions signed by your authorised representative.

If a signed copy is not returned, express, unqualified acceptance by an authorised representative through written confirmation (including email or WhatsApp), a Purchase Order expressly accepting this quotation and its terms, or payment of the agreed advance against this quotation after receipt of these terms may evidence acceptance, subject to applicable law. A missing signature does not by itself negate such acceptance; silence or failure to return a signed copy alone is not acceptance.

Any conflicting PO terms or proposed changes require Garg International's written agreement before proceeding.

22. Priority of Quotation Terms

Where any condition specifically stated in the Quotation, Purchase Order accepted by Garg International or written project-specific agreement differs from these General Terms & Conditions, the specific written term accepted by Garg International shall prevail for that order.
